Terms of Service
1. Definitions
In these Terms:
- "Platform" means the e-demia academy website, mobile site, and any related services.
- "Courses" means online courses, programs, and learning materials offered on the Platform.
- "User", "you", "your" means any person who accesses or uses the Platform.

2. Eligibility and Accounts
- You must be at least 18 years old to create an account and use the Platform.
- You agree to provide accurate, current, and complete information when creating your account and to keep it updated.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Nature of the Service
- The Platform provides access to online learning experiences, including but not limited to video lectures, readings, quizzes, assignments, projects, and discussions.

4. Course Enrolment, Access and Restrictions
- When you enrol in a paid Course, you are granted a limited, non-exclusive, non-transferable licence to access and view the Course content for your personal, non-commercial use, subject to these Terms.
- Unless otherwise stated on the Course page, access to a Course is provided for a period described at the time of purchase. We reserve the right to limit the duration of access to certain Courses or materials.
- You may not share your account or Course content with any other person, nor may you resell, redistribute, or sublicense Course content.
- We may suspend or revoke your access to any Course or the Platform if you breach these Terms, the Student Honor Code, or any applicable law.
5. Payments, Pricing and Taxes
- All prices for Courses and services are displayed on the Platform at the time of purchase and are subject to change at any time.
- Payments are processed through third-party payment provider Paystack. By making a payment, you also agree to Paystack’s terms and conditions.
- You authorise us and Paystack to charge your selected payment method for the total amount of your purchase, including any applicable taxes and fees.
- You are responsible for any bank charges, currency conversion fees, or other charges imposed by your financial institution.
6. Refunds
Our detailed Refund Policy is set out separately in the Refund Policy. The following principles apply:
- We offer a limited refund window of 7 calendar days from the date of purchase, provided that your Course progress is less than 10% and you have not downloaded certificates or other completion artefacts.
- Refunds, where approved, are processed back to the original payment method via Paystack, subject to their processing times and any applicable fees.
- We do not provide refunds simply because you changed your mind, failed to use the Course, or no longer have time.
7. User Content
- The Platform may allow you to submit, upload, or otherwise make available assignments, projects, messages, posts, reviews, or other content ("User Content").
- You retain ownership of your User Content. However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purposes of operating, improving, and promoting the Platform and Courses.
- You represent and warrant that:
- you have all necessary rights to submit the User Content; and
- your User Content does not infringe any intellectual property, privacy, or other rights of any third party, and does not violate any law.
- We may remove or restrict access to any User Content we believe, in our sole discretion, violates these Terms or is otherwise objectionable.
8. Acceptable Use and Prohibited Conduct
In addition to the Student Honor Code, you agree that you will NOT:
- Use the Platform for any unlawful purpose or in violation of any applicable law.
- Share your account, login credentials, or Course content with others.
- Upload or transmit any content that is fraudulent, defamatory, obscene, harassing, hateful, discriminatory, or otherwise offensive.
- Attempt to gain unauthorised access to the Platform or its underlying systems.
- Use any automated means (such as bots or scrapers) to access the Platform or extract data, except as explicitly allowed by us.
- Reverse engineer, decompile, or attempt to discover the source code of the Platform.
9. Intellectual Property
- All Course content (including videos, text, quizzes, assignments, software, graphics, logos, and trademarks) is owned by us or our licensors and is protected by copyright and other intellectual property laws.
- Except as expressly permitted, you may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any Course content or the Platform.
10. Disclaimers
- The Platform and all Courses are provided on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.
- We do not guarantee that completion of any Course will result in employment, promotion, academic credit, professional certification, or any specific outcome.
- Where Courses are provided by external instructors or partners, we do not guarantee the accuracy, completeness, or suitability of their content.
11. Limitation of Liability
- To the maximum extent permitted by South African law, we shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Platform or Courses.
- Our total aggregate liability to you for any claim arising out of or relating to the Platform or these Terms shall not exceed the total amount you paid to us in the 6 months immediately preceding the event giving rise to the claim.
12. Indemnity
You agree to indemnify, defend, and hold harmless [INSERT REGISTERED COMPANY NAME], its directors, employees, instructors, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Platform or Courses.

13. Suspension and Termination
We may suspend or terminate your account or access to the Platform if we reasonably believe that you have:
- Breached these Terms or the Student Honor Code;
- Engaged in unlawful, fraudulent, or abusive behaviour; or
- Used the Platform in a manner that poses risk to other users, instructors, or the integrity of the Platform.
For serious breaches, we may suspend or terminate access immediately and without prior notice.
For non-serious or remediable breaches, we may, where reasonably practicable, provide notice and an opportunity to remedy the breach before taking further action.
Upon termination, your right to access the Platform and Courses will immediately cease. Provisions which by their nature should survive termination, including intellectual property rights, disclaimers, limitation of liability, and indemnities, shall survive.
14. Changes to These Terms
- We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page.
- Where required by law, we will provide you with notice of material changes (for example, by email or a prominent notice on the Platform).
- Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms.
15. Governing Law and Jurisdiction
- These Terms are governed by the laws of the Republic of South Africa.
- You agree that any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts of South Africa.
